1. Acceptance of Terms

Welcome to ViaLoop, a vehicle tracking and monitoring service provided by 404Minds Technologies. By accessing or using our services, website, mobile applications, or any related platforms (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms").

If you do not agree to these Terms, please do not use our Services. Your continued use of the Services constitutes your acceptance of these Terms and any modifications we make to them.

2. Service Description

ViaLoop provides real-time vehicle tracking, monitoring, and analytics services including but not limited to:

  • GPS-based vehicle location tracking
  • Trip history and route optimization
  • Fuel consumption monitoring
  • Vehicle health diagnostics
  • Driver behavior analytics
  • Geofencing and alert notifications
  • Fleet management tools
  • Reporting and data visualization

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with or without notice.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services. By using ViaLoop, you represent and warrant that you meet these requirements.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

4.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or abusive activities.

5. Acceptable Use Policy

You agree NOT to:

  • Use the Services for any unlawful purpose or in violation of any applicable laws
  • Track vehicles without proper authorization from the vehicle owner
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any portion of the Services
  • Use automated systems (bots, scrapers) to access the Services
  • Reverse engineer, decompile, or disassemble any software
  • Transmit viruses, malware, or harmful code
  • Impersonate any person or entity or misrepresent your affiliation
  • Violate the privacy rights of others through unauthorized tracking
  • Resell or commercially exploit the Services without authorization

6. Vehicle Tracking and Authorization

You represent and warrant that:

  • You own or have proper authorization to track all vehicles registered under your account
  • You have obtained necessary consents from drivers and vehicle users as required by applicable laws
  • You will comply with all privacy laws and regulations in your jurisdiction
  • You will not use the tracking data for stalking, harassment, or any illegal purpose

Unauthorized tracking is illegal and may result in civil and criminal penalties. You are solely responsible for ensuring compliance with all applicable laws.

7. Payment and Subscription

7.1 Fees

Access to certain features requires a paid subscription. By subscribing, you agree to pay all applicable fees as described in your chosen plan. All fees are in Indian Rupees (INR) unless otherwise specified.

7.2 Billing

Subscription fees are billed in advance on a recurring basis (monthly or annually). Your subscription will automatically renew unless you cancel before the renewal date.

7.3 Refunds

All fees are non-refundable except as required by law or as explicitly stated in your subscription agreement. If you cancel your subscription, you will continue to have access until the end of your billing period.

7.4 Price Changes

We reserve the right to modify our pricing. We will provide reasonable notice of any price changes. Your continued use after the price change constitutes acceptance of the new pricing.

8. Intellectual Property Rights

8.1 Our Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and design, are owned by 404Minds Technologies and are protected by copyright, trademark, and other intellectual property laws.

8.2 Your Rights

You retain ownership of any data you upload or generate through the Services. By using the Services, you grant us a limited license to use, store, and process your data solely to provide and improve the Services.

8.3 Trademarks

ViaLoop and related logos are trademarks of 404Minds Technologies. You may not use our trademarks without prior written permission.

9. Data Accuracy and Service Reliability

While we strive to provide accurate and reliable services, we do not guarantee:

  • 100% accuracy of GPS location data or vehicle diagnostics
  • Uninterrupted or error-free service operation
  • That the Services will meet your specific requirements
  • That all features will function in all geographic locations

Location data may be affected by factors including GPS signal strength, cellular network coverage, atmospheric conditions, and device limitations. You acknowledge these limitations and agree that we are not liable for any inaccuracies.

10. Disclaimers and Limitations of Liability

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 404MINDS TECHNOLOGIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10.3 Emergency Services

THE SERVICES ARE NOT A SUBSTITUTE FOR EMERGENCY SERVICES. IN CASE OF EMERGENCY, ALWAYS CONTACT LOCAL EMERGENCY SERVICES (POLICE, AMBULANCE, FIRE DEPARTMENT) DIRECTLY.

11. Indemnification

You agree to indemnify, defend, and hold harmless 404Minds Technologies, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your unauthorized tracking of vehicles

12. Third-Party Services and Links

The Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or functionality of these third-party services. Your use of third-party services is governed by their respective terms and conditions.

13. Termination and Suspension

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, for any reason including:

  • Violation of these Terms
  • Fraudulent or illegal activities
  • Non-payment of fees
  • Extended periods of inactivity
  • Conduct that we deem harmful to other users or the Services

Upon termination, your right to use the Services will immediately cease. We may delete your data after a reasonable period following termination.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.2 Jurisdiction

Any disputes arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in India.

14.3 Arbitration

Before filing any legal action, you agree to attempt to resolve disputes through good faith negotiation. If informal resolution fails, disputes may be resolved through binding arbitration in accordance with Indian arbitration laws.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms.

If you do not agree to the modified Terms, you must discontinue use of the Services and may close your account.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Services, constitute the entire agreement between you and 404Minds Technologies concerning the Services.
